1. Provider
These terms govern services provided by DevStructure, Schwanthalerstraße 44, 80336 München, Germany. Contact: contact@devstructure.site, +49 89 37040119.
2. Scope and contract formation
DevStructure provides business-process automation, AI workflows, API and software integration, custom programming and technology consulting. Website descriptions are invitations to enquire unless expressly identified as binding offers. A contract is formed when DevStructure accepts an order in writing, issues an order confirmation, or begins performance by agreement.
3. Project documents and changes
The applicable proposal, order confirmation or statement of work defines scope, deliverables, schedule, assumptions and fees. Changes require written agreement and may affect timing and price.
4. Prices, taxes and payment
Prices are stated in the applicable offer and are exclusive of VAT unless shown otherwise. Invoices are payable by the due date shown. Reasonable third-party costs are charged only where agreed or necessary under the project documents.
5. Customer responsibilities
The customer will provide accurate information, lawful instructions, appropriate licences, timely approvals and secure access to relevant systems. The customer remains responsible for business decisions, backups, production approvals and the lawful use of deliverables.
6. Third-party services and AI
Projects may depend on platforms, APIs, hosting, software or AI services supplied by third parties. Their terms, availability and changes remain outside DevStructure's control. Where AI is used, outputs may require human review; the agreed workflow will define validation and approval steps.
7. Intellectual property
Each party retains ownership of materials, tools and know-how it owned before the engagement. Upon full payment, the customer receives the rights to project-specific deliverables stated in the project documents. DevStructure retains reusable methods, generic components and know-how, subject to confidentiality obligations and without disclosing customer confidential information.
8. Confidentiality and data protection
Each party will protect the other's confidential information and use it only for the engagement. Personal data is handled in accordance with applicable data-protection law and any separate data-processing agreement.
9. Warranty and cooperation
DevStructure will perform services with reasonable professional care and will correct reproducible defects within the agreed scope when notified within a reasonable time. Software and automations require appropriate testing, monitoring and maintenance; uninterrupted or error-free operation is not guaranteed where this would be inconsistent with the nature of the service.
10. Liability
Liability is unlimited for intent, gross negligence, injury to life, body or health, guarantees expressly given, fraudulent concealment and liability that cannot lawfully be limited. For simple negligence affecting an essential contractual obligation, liability is limited to foreseeable damage typical for the contract. Otherwise, liability for simple negligence is excluded to the extent permitted by law. Mandatory statutory liability remains unaffected.
11. Term and termination
Project contracts end when the agreed services are completed unless terminated earlier under the project documents or applicable law. Recurring services renew and may be cancelled as stated in the applicable order. Rights to terminate for cause remain unaffected.
12. Governing law and disputes
German law applies, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods, to the extent permitted. If the customer is a merchant, a legal entity under public law or a special fund under public law, Munich is the agreed place of jurisdiction. Mandatory consumer protections and statutory venues remain unaffected.
